Eversheds advises Enstar on acquisition of Unionamerica
International law firm Eversheds has advised Enstar Group Limited on the acquisition of Unionamerica Holdings Limited from St Paul Fire and Marine Insurance Company, an affiliate of the Travelers Companies, Inc. for a total consideration of $343.4million. Enstar acquires and manages insurance and reinsurance companies in run-off and provides management, consultancy and other services to the insurance and reinsurance industry. Unionamerica is comprised of the discontinued operations of the Travelers’ UK-based London Market business, which were placed into run-off between 1992 and 2003, including North American casualty, asbestos and environmental reserves, UK and EU motor reserves and other casualty reserves. These businesses have gross liabilities as of 30 June 2008 of approximately $1 billion. The transaction, which was signed on 7 October, is conditional on the completion of bank financing and FSA approval and is expected to close in the final quarter of 2008. The Eversheds team was led by partners, Jon Roper and Rob Pitcher (corporate) with support from associate Rachel Broquard (corporate), partners Casper Fox (tax), Nick Swiss (banking), Paul Fontes (employment) and solicitor Catherine Salafia (pensions).
